T-Mobile Nederland en Vodafone bereiken overeenstemming over de overname van de vaste tak op de consumentenmarkt in Nederland

Het bestuur van T-Mobile Nederland en Vodafone hebben overeenstemming bereikt over de overname van Vodafone Thuis, de vaste tak van Vodafone in Nederland, actief op de Nederlandse consumentenmarkt. Dankzij de overname krijgt T-Mobile Nederland vaste voet aan de grond op de telecommarkt, met een aanbod voor breedband internet, vaste telefonie, televisie, ongeveer 150.000 klanten en circa 100 werknemers. De acquisitie vindt plaats onder voorbehoud van het advies van de ondernemingsraden van beide partijen en de mededingingsautoriteiten. Financiële details van de transactie worden niet vrijgegeven.

Dit besluit volgt op de aankondiging in mei j.l toen T-Mobile en aandeelhouder Deutsche Telekom een herpositionering en de strategie aankondigden om de groei een nieuwe impuls te geven. Om zo de commerciële positie van het bedrijf in Nederland te versterken. Met de overname van de vaste tak streeft T-Mobile meer synergie in haar portefeuille na, gericht op de combinatie van vast en mobiel.

Vodafone Thuis is een groeiende onderneming en heeft circa 150.000 klanten, waarvan ongeveer 90 procent een ‘triple play’ abonnement heeft. Het bedrijf heeft een landelijk dekkend breedband netwerk en bereikt daarmee ongeveer 80 procent van de Nederlandse huishoudens met snel vast internet. De verkoop van Vodafone Thuis is het resultaat van een toezegging van Vodafone Group Plc en Liberty Global plc aan de Europese Commissie om de voorgenomen joint venture van Vodafone en Ziggo in Nederland voorwaardelijk goed te keuren.

Beide partijen verwachten dat de transactie voor het einde van het jaar voltooid zal worden.

T-Mobile Netherlands and Vodafone agree on acquisition of Vodafone’s Consumer fixed assets in the Netherlands

NOVEMBER 4, 2016 - The boards of T-Mobile Netherlands and Vodafone have agreed to the acquisition of Vodafone’s Consumer fixed assets (‘Thuis’) in the Netherlands. The takeover will give T-Mobile Netherlands a foothold in the fixed market offering broadband, fixed telephony and TV with approximately 150,000 customers and around 100 employees. The acquisition is subject to consultation with the Works Councils of both parties and the competent competition authorities. Financial details of the transaction are not being disclosed.

This decision follows the announcement by T-Mobile and shareholder Deutsche Telekom in May of a repositioning and strategy to re-invigorate growth and strengthen the company’s commercial position in the Netherlands. With the acquisition of these fixed Consumer operations the company wants to pursue portfolio synergies to address the fixed/mobile converged Consumer market.”

Vodafone Thuis is a growing business with approximately 150,000 customers, around 90 percent of whom have a triple play subscription. The company has nationwide broadband coverage and is able to reach approximately 80 percent of Dutch households with high-speed fixed Internet. The divestment of Vodafone Thuis was a commitment offered by Vodafone Group Plc and Liberty Global Plc to the European Commission as a condition of clearance of the merger between Vodafone and Ziggo in the Netherlands.

Both parties expect the transaction to be closed before the end of the year.
